1. Introduction

These Terms of Use ("Terms") govern your access to and use of the Shopify applications ("Apps") and services ("Services") marketed under the brand 4Merchants and provided by Altruan GmbH ("Company", "we", "us", or "our").

4Merchants is a brand of Altruan GmbH. All contractual relationships are entered into exclusively with Altruan GmbH.

By installing, accessing, or using our Apps or Services, you agree to be bound by these Terms.

2. Acceptance of Terms

By installing or using any 4Merchants App via the Shopify App Store or by accessing our Services through https://4merchants.io, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must not use our Apps or Services.

3. Description of Services

4Merchants develops and offers Shopify applications designed to enhance e-commerce functionality, including but not limited to:

• 4Budgeting Pro – customer budgeting and deferred payment tools
• 4PriceSlider Pro – dynamic pricing solutions (upcoming)
• 4Vatify Pro – VAT management solutions (upcoming)
• 4Quantity Pro – quantity-based pricing tools (upcoming)

We reserve the right to modify, expand, or discontinue any App or feature at any time.

4. User Responsibilities

You agree to:

• Use our Apps and Services only for lawful business purposes
• Provide accurate, complete, and up-to-date information
• Maintain the confidentiality of your account credentials
• Comply with all applicable laws and regulations, including GDPR
• Not reverse engineer, decompile, or attempt to derive source code
• Not misuse the Services to transmit unlawful, harmful, or misleading content

You are solely responsible for ensuring that your use of the Apps complies with applicable consumer, tax, and e-commerce laws.

5. Intellectual Property Rights

All intellectual property rights related to the Apps and Services, including software, code, trademarks, designs, and documentation, are owned by Altruan GmbH or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Apps solely for their intended purpose during the term of your subscription.

No rights are granted beyond those expressly stated in these Terms.

6. Payment Terms

• Subscription fees are processed exclusively through Shopify's billing system
• By subscribing, you authorize Shopify to charge the applicable fees
• Fees are non-refundable, unless required by mandatory law
• Pricing and billing cycles are displayed in the Shopify App Store
• Altruan GmbH does not directly process payments or store payment information.

7. Disclaimer of Warranties

We expressly disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

We do not guarantee that the Apps will be error-free, secure, or continuously available.

8. Limitation of Liability

To the maximum extent permitted by law:

• Altruan GmbH shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• This includes loss of profits, revenue, data, business, or goodwill
• Our total liability for all claims related to the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability for intent, gross negligence, or mandatory statutory liability.

9. Data Protection & GDPR Compliance

We process personal data in accordance with applicable data protection laws, including the GDPR.

Details regarding data processing are set out in our Privacy Policy, which forms an integral part of these Terms.

10. Termination

You may terminate these Terms at any time by uninstalling the Apps from your Shopify store.

We may suspend or terminate access to the Services immediately if you breach these Terms or applicable laws.

Termination does not affect accrued payment obligations.

11. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules.

Exclusive place of jurisdiction, where legally permissible, is the registered seat of Altruan GmbH.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via our Apps or by email.

Continued use of the Services after changes constitutes acceptance of the updated Terms.
